Welcome to MatchWithAgent.ca (the “Website” or “Service”), operated by Indeed Solid Software Inc., a Canadian federal corporation with an extra-provincial registration in Ontario (“Company,” “we,” “our,” or “us”). By accessing, browsing, submitting information through, or otherwise using the Website or Service, you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, do not use the Service.
1. Who We Are
MatchWithAgent.ca is a lead-generation, marketing, and matching platform. We help connect individuals interested in buying, selling, or both with independent licensed real estate professionals and participating brokerages in Ontario.
The Company is not a real estate brokerage, is not registered to trade in real estate, and does not provide real estate brokerage, representation, appraisal, legal, tax, mortgage, financial, or investment advisory services. Any real estate services are provided solely by independent third-party licensed real estate professionals, teams, or brokerages (“Real Estate Professionals”).
2. Eligibility
You must be at least 18 years old to use the Service.
If you use the Service on behalf of a business, organization, family member, or another person, you represent and warrant that you have the authority to do so and, where applicable, to bind that person or entity to these Terms.
By using the Service, you represent and warrant that:
a) you are legally capable of entering into binding agreements;
b) the information you provide is truthful, current, and complete; and
c) your use of the Service does not violate any applicable law or any agreement binding on you.
3. Permitted Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You will not:
a) provide false, misleading, outdated, or incomplete information;
b) impersonate any person or entity or misrepresent your identity, affiliation, authority, or relationship to another person;
c) submit another person’s personal information without appropriate authority or consent;
d) use the Service to spam, harvest leads, scrape data, or send unsolicited communications;
e) copy, reproduce, distribute, scrape, frame, mirror, or create derivative works from any part of the Website or its content without prior written permission;
f) interfere with or disrupt the operation, security, or functionality of the Website;
g) attempt to gain unauthorized access to the Website, server, systems, accounts, or data;
h) use automated means, bots, scripts, or similar tools to access or interact with the Service without our prior written consent; or
i) use the Service in any way that violates applicable law, including privacy, anti-spam, consumer protection, deceptive marketing, intellectual property, or real estate laws.
We reserve the right to monitor use of the Service and to suspend, restrict, or terminate access where we reasonably believe that you have violated these Terms or applicable law, or where continued operation of the Service would create legal, technical, operational, or reputational risk.
4. Nature of the Service
The Service is intended to help users request introductions to independent real estate professionals.
The Company:
a) does not act as your real estate agent, broker, salesperson, representative, or fiduciary;
b) does not negotiate, advise on, or participate in your real estate transaction;
c) does not guarantee that you will be matched with any particular Real Estate Professional;
d) does not guarantee any listing, purchase, sale, price, value, timeline, availability, financing result, or transaction outcome; and
e) is not a party to any agreement, representation relationship, offer, purchase, sale, lease, mortgage, appraisal, or other transaction between you and any Real Estate Professional or third party.
All decisions regarding whether to contact, retain, or transact with a Real Estate Professional are solely yours.
The Company may receive compensation from participating real estate professionals or brokerages, including platform fees, lead fees, marketing fees, consultation-related fees, placement fees, advertising management fees, pass-through advertising reimbursements, or other service fees in connection with marketing, introductions, and platform services facilitated through the Service.
5. Real Estate Professionals and Third Parties
Real Estate Professionals or other persons listed on, connected through, or introduced via the Service are independent third parties and are not employees, partners, joint venturers, or agents of the Company unless expressly stated otherwise in writing.
Although Real Estate Professionals may be licensed or registered under applicable laws, the Company does not control and does not guarantee:
a) their licensing or registration status at all times;
b) the quality, legality, suitability, timeliness, availability, accuracy, professionalism, or results of their services;
c) the completeness or accuracy of any statements, listings, valuations, market opinions, advertising, or advice they provide; or
d) that any particular Real Estate Professional is the best fit for your needs.
Any engagement, agreement, representation relationship, communication, negotiation, or transaction between you and a Real Estate Professional or other third party is solely between you and that party. The Company is not responsible for any dispute, claim, loss, delay, damage, injury, misrepresentation, negligence, misconduct, or other issue arising from or relating to your dealings with any Real Estate Professional or third party.
6. Home Value Estimates and Informational Content Disclaimer
Any home value estimate, market estimate, price range, comparable-sales information, market commentary, neighbourhood content, blog content, FAQ content, or other information provided through the Website is for general informational purposes only.
Such information:
a) may be based on limited data, assumptions, algorithms, third-party information, or incomplete submissions;
b) is not an appraisal, broker opinion of value, legal opinion, financial advice, tax advice, or investment advice;
c) is not guaranteed to be accurate, complete, current, or suitable for your situation; and
d) should not be relied upon as the sole basis for making legal, financial, or real estate decisions.
You should obtain independent professional advice before making any significant real estate, financial, legal, or tax decision.
7. Referral Program
The Company may offer one or more referral programs from time to time. Any such program is subject to the specific Referral Program Terms posted on the Website, which are incorporated into these Terms by reference.
Unless expressly stated otherwise in the applicable Referral Program Terms:
a) referral rewards are conditional, subject to eligibility, verification, review, and compliance with the applicable program rules, and are not guaranteed;
b) self-referrals are prohibited unless expressly permitted by the applicable Referral Program Terms;
c) eligibility requirements, verification steps, review periods, payment timing, and program availability may be changed, suspended, or withdrawn at any time, to the extent permitted by law; and
d) the Company may reject, withhold, cancel, delay, or reverse a referral or reward where it reasonably believes there has been abuse, fraud, bad faith, duplication, ineligibility, false or misleading information, or non-compliance.
8. Privacy and Consent to Communications
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, disclose, and safeguard personal information.
By submitting your information through the Service, you consent, to the extent permitted by applicable law, to being contacted by the Company and/or by a participating Real Estate Professional or brokerage to whom your request is directed, by phone, email, SMS, or other communication methods you provide, for the purpose of:
a) responding to your inquiry;
b) reviewing and verifying your request;
c) facilitating a match or introduction;
d) providing requested services or follow-up related to your request;
e) administering and supporting the referral program; and
f) maintaining records, preventing abuse, fraud, or misuse, and enforcing our terms and policies.
You represent and warrant that:
a) any personal information you provide to us is collected, used, and disclosed by you lawfully;
b) where you provide information about another individual, including a referrer, you have the authority or consent necessary to do so;
c) where you identify a referrer, that individual has agreed to be identified and contacted by us for referral-program administration purposes; and
d) you understand that consent may be withdrawn, subject to legal or contractual restrictions and reasonable notice.
We do not guarantee that any communication from a Real Estate Professional or third party will meet your expectations, nor are we responsible for their independent compliance obligations.
9. Intellectual Property
All content on the Website, including text, design, layout, graphics, logos, icons, photographs, video, audio, software, code, databases, and other materials, and all intellectual property rights in them, are owned by or licensed to the Company and are protected by Canadian and international intellectual property laws.
Subject to these Terms, you are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website for your personal, lawful, non-commercial use.
You may not, without our prior written consent:
a) copy, reproduce, modify, republish, upload, post, transmit, distribute, sell, license, or exploit Website content;
b) remove copyright, trademark, or proprietary notices;
c) use our name, trademarks, logos, or branding in a way that suggests endorsement or affiliation; or
d) use Website content for commercial lead generation, competitive intelligence, or training datasets.
10. Third-Party Links and Services
The Website may contain links to third-party websites, services, tools, listings, maps, analytics providers, social platforms, forms, or software. These are provided for convenience only.
The Company does not control and is not responsible for the content, policies, security, availability, legality, or practices of any third-party websites or services. Your use of third-party services is at your own risk and may be subject to separate terms and privacy policies.
11. No Warranties
To the fullest extent permitted by applicable law, the Website and Service are provided on an “as is,” “as available,” and “with all faults” basis.
The Company disclaims all representations, warranties, and conditions of any kind, whether express, implied, statutory, or collateral, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, security, or uninterrupted access.
Without limiting the foregoing, the Company does not warrant that:
a) the Website or Service will be uninterrupted, error-free, secure, or available at all times;
b) defects will be corrected;
c) the Website will be free of viruses or harmful components; or
d) any results or outcomes obtained from use of the Service will be accurate, reliable, or satisfactory.
12. Limitation of Liability
To the fullest extent permitted by applicable law, the Company and its directors, officers, employees, contractors, affiliates, licensors, service providers, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, or for any loss of profit, revenue, business, goodwill, data, savings, opportunities, or transaction outcomes, arising out of or relating to:
a) your use of or inability to use the Website or Service;
b) your reliance on Website content, home value estimates, or other information;
c) your communications or dealings with any Real Estate Professional or third party;
d) any referral program, reward decision, or alleged failure to pay a reward;
e) unauthorized access to or alteration of your data;
f) Website downtime, errors, bugs, or security incidents; or
g) any other matter relating to the Website or Service,
even if the Company has been advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of the Company and its directors, officers, employees, contractors, affiliates, licensors, service providers, and representatives for all claims arising out of or relating to the Website or Service shall not exceed the greater of:
a) CAD $100; and
b) the amount, if any, paid by you directly to the Company for use of the Service in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, contractors, affiliates, licensors, service providers, and representatives from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
a) your use of the Website or Service;
b) your breach of these Terms;
c) your violation of any law or the rights of any person or entity;
d) any information or content you submit;
e) your dealings with any Real Estate Professional or third party; or
f) your misuse of any referral program.
We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with us in the defence of such matter.
14. Suspension, Termination, and Refusal of Service
We may, at any time and without notice, suspend, restrict, terminate, or refuse access to the Website or Service, in whole or in part, where we reasonably believe that:
a) you have violated these Terms;
b) your use creates risk for the Company, users, Real Estate Professionals, or third parties;
c) your submission is fraudulent, abusive, misleading, incomplete, or unlawful; or
d) continued operation of the Service is not commercially, legally, or technically practical.
Termination or suspension does not limit any other rights or remedies available to the Company.
15. Electronic Communications
You agree that we may provide notices, disclosures, and other communications to you electronically, including by posting them on the Website or sending them to the email address you provide. You agree that such electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.
16. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to the Website, Service, or these Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
You irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, Ontario, for the resolution of any such dispute, unless applicable law requires otherwise.
17. Changes to These Terms
We may modify these Terms at any time by posting updated Terms on the Website and updating the “Last Updated” date above.
Unless otherwise required by applicable law, changes become effective immediately upon posting. Where required by law, or where a change materially affects your rights or obligations, we may provide additional notice by email, on-site notice, or other reasonable means.
Your continued use of the Website or Service after updated Terms are posted constitutes your acceptance of the revised Terms.
18. General Provisions
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
No waiver by the Company of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, at any time without restriction.
These Terms, together with our Privacy Policy and any other policies or program terms expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the Website and Service and supersede all prior or contemporaneous communications, understandings, and agreements relating to them.

b) to process your request and connect you with one or more participating real estate professionals or brokerages that may be suited to your inquiry;
c) to review, verify, qualify, route, and administer lead submissions and referral submissions;
d) to operate, maintain, troubleshoot, secure, and improve the Website and our services;
e) to personalize user experience and understand how the Website is used;
f) to administer promotions, referral programs, eligibility determinations, review periods, and reward decisions;
g) to verify information and prevent fraud, misuse, spam, abuse, duplicate claims, or other improper activity;
h) to maintain appropriate business and legal records;

We may disclose personal information to the following categories of recipients, where reasonably necessary for the purposes described in this Privacy Policy:
A. Participating Real Estate Professionals and Brokerages
We may share your request information with one or more independent participating real estate professionals, teams, or brokerages to help connect you with someone who may assist you.
B. Service Providers
We may share personal information with vendors and service providers that support our operations, such as website hosting, cloud storage, analytics, communications, forms, fraud prevention, payment processing, customer support, security, or similar functions.
C. Business and Professional Advisors
We may share information with legal, accounting, tax, audit, insurance, compliance, or other professional advisors where reasonably necessary.
D. Legal and Regulatory Authorities

a) identify and verify the referrer and referred person;
b) confirm whether a referral was submitted properly and on time;
c) verify eligibility under the Referral Program Terms;
d) confirm whether required qualification or review steps were completed;
e) prevent self-referrals, duplicate claims, fraud, abuse, or other misuse;
f) communicate about referral status, review, rejection, delay, or reward payment; and
g) maintain records necessary to administer the referral program and related disputes or audits.
Referral rewards are subject to separate Referral Program Terms. Submission of referral information does not guarantee that any reward will be approved or paid.
8. Communications and CASL
If you provide us with contact information, we and/or a participating real estate professional or brokerage to whom your request is directed may contact you regarding your inquiry, request, match, consultation, referral, or related service follow-up.
Where we send commercial electronic messages subject to Canada’s Anti-Spam Legislation (“CASL”), we intend to comply with applicable CASL requirements, including consent requirements where applicable, sender identification, and an unsubscribe mechanism.
You may unsubscribe from marketing emails by using the unsubscribe link in the message, where available, or by contacting us at info@matchwithagent.ca.
Please note that even if you opt out of marketing messages, we may still send transactional, administrative, service-related, security, legal, or other non-marketing communications where permitted by law.
9. Cookies, Analytics, Pixels, and Similar Technologies
We may use cookies, pixels, tags, logs, and similar technologies to:
a) keep the Website functioning properly;
b) understand usage patterns and Website performance;
c) improve content, functionality, user experience, and marketing effectiveness;
d) support analytics, attribution, and campaign measurement; and
e) support security and fraud prevention.
You may be able to control cookies through your browser settings. Blocking some cookies may affect Website functionality.

Referral Program Terms

These Referral Program Terms (the “Referral Terms”) govern participation in the MatchWithAgent.ca referral program (the “Program”), operated by Indeed Solid Software Inc. (“Company,” “we,” “us,” or “our”).
MatchWithAgent.ca is a lead-generation, marketing, and matching platform. The Company is not a real estate brokerage, is not registered to trade in real estate, and does not provide real estate brokerage, representation, legal, tax, mortgage, or financial advisory services.
These Referral Terms form part of and are incorporated into our Terms of Service and should be read together with our Privacy Policy. By participating in the Program, whether as a referrer, referred person, or otherwise, you agree to these Referral Terms.
1. Purpose of the Program
The Program is intended to reward eligible word-of-mouth referrals to MatchWithAgent.ca in accordance with these Referral Terms.
The Program is not intended to create any agency, employment, partnership, joint venture, brokerage, representation, or fiduciary relationship between the Company and any participant.
2. Definitions
For the purposes of these Referral Terms:
“Referrer” means the individual who is identified by a referred person as having referred them to MatchWithAgent.ca.
“Referred Person” means the individual who submits their own request through MatchWithAgent.ca and identifies a Referrer.
“Referral” means a submission made by a Referred Person through MatchWithAgent.ca that identifies a Referrer.
“Participating Professional” means an independent Ontario real estate professional, team, or brokerage that participates in lead intake, introductions, or matching through the Service.
“Review Period” means the period after the initial consultation during which the Company may verify eligibility, legitimacy, compliance, and abuse-prevention factors before approving or rejecting a referral reward.
“Referral Reward” means any conditional reward offered by the Company under the Program, if approved.
3. Who May Participate
To participate as a Referrer, you must:
a) be at least 18 years old;
b) provide accurate, current, and complete information;
c) participate lawfully and in good faith; and
d) comply with these Referral Terms, our Terms of Service, our Privacy Policy, and applicable law.
The following are not eligible to receive a Referral Reward unless expressly approved by the Company in writing:
a) the Referred Person themselves;
b) any person referring themselves directly or indirectly;
c) the Referrer’s spouse, partner, or another person in the same household, where the Company reasonably determines the referral is effectively a self-referral;
d) any current employee, contractor, officer, director, or representative of the Company;
e) any current real estate registrant, brokerage owner, brokerage employee, brokerage staff member, or person who cannot lawfully receive the Referral Reward; and
f) any other person or category of person that the Company identifies as ineligible in order to prevent abuse, comply with law, or protect the integrity of the Program.
4. How a Referral Must Be Submitted
A Referral is recognized only if all of the following occur:
a) the Referred Person submits their own request directly through MatchWithAgent.ca;
b) the Referrer’s name and email address are provided by the Referred Person at the time of the initial submission;
c) the submission is voluntary and made by the Referred Person themselves;
d) the submission is complete enough for us to review, verify, and process it; and
e) the submission otherwise complies with these Referral Terms.
The Company is not responsible for missing, inaccurate, incomplete, late, duplicate, altered, unverifiable, or improperly submitted referral information.
No retroactive referral claims will be accepted. If the Referrer is not identified at the time of the Referred Person’s initial submission, no Referral Reward will be payable in respect of that submission unless the Company expressly agrees otherwise in writing.
5. What Makes a Referral Eligible
A Referral will be considered eligible for further review only if, acting reasonably and in good faith, the Company determines that:
a) the Referred Person is a genuine buyer, seller, or both, in Ontario;
b) the Referred Person is a new, genuine, and verifiable lead and is not already an active lead, existing client inquiry, duplicate referral, or previously assigned submission for the same transaction or opportunity;
c) to the best of the Referred Person’s knowledge at the time of submission, they are not already under an active buyer or seller representation agreement with another brokerage for the same transaction;
d) the Referral is made in good faith and not for the purpose of manipulating, abusing, or defeating the Program;
e) the Referred Person attends an initial consultation, meeting, or other qualifying introduction with a Participating Professional;
f) after that consultation, the Referred Person confirms, in a manner acceptable to the Company, that they attended and wish to continue the conversation with the Participating Professional; and
g) the Referral remains eligible through the Review Period.
The Company may apply additional reasonable verification requirements where necessary to confirm legitimacy, eligibility, ownership, authority, identity, timing, duplication, consultation attendance, or compliance with the Program.
6. Review Period and Verification
After the initial consultation, the Referral will be subject to a Review Period, which is generally up to twenty-one (21) days, but may be extended where reasonably necessary to complete verification, resolve inconsistencies, investigate potential abuse, await required information, or comply with legal or operational requirements.
During the Review Period, the Company may review, verify, or consider factors including:
a) whether the Referred Person actually submitted the request themselves;
b) whether the Referrer was identified properly at the time of the initial submission;
c) whether the lead is genuine, new, and not duplicative;
d) whether the initial consultation occurred and met the Program requirements;
e) whether the Referred Person confirmed an intention to continue;
f) whether the Referred Person was already working with the same Participating Professional or another brokerage for the same transaction;
g) whether the submission appears false, misleading, abusive, manipulated, or not made in good faith; and
h) any other fact reasonably relevant to Program eligibility, fraud prevention, or legal compliance.
A Referral Reward is not earned, vested, owing, or payable until the Company has completed its review and approved the Referral in writing or by payment.
7. Referral Reward
Subject to these Referral Terms, the Company may offer a Referral Reward for an approved Referral.
Unless otherwise stated on the applicable Referral Program page, the Referral Reward offered for an approved Referral is the amount displayed on the applicable page at the time of the Referred Person’s initial submission.
The Company may change, suspend, withdraw, or discontinue the Program or any Referral Reward prospectively at any time, to the extent permitted by law.
A Referral Reward:
a) is conditional and not guaranteed;
b) is payable only if all Program conditions are satisfied;
c) is subject to successful completion of the Review Period;
d) is subject to the Referrer providing any information reasonably required for payment, verification, fraud prevention, or legal and tax compliance; and
e) may be withheld, delayed, reduced, cancelled, reversed, or declined where permitted under these Referral Terms or applicable law.
Unless otherwise stated in writing, only one Referral Reward may be paid in respect of the same Referred Person, household, transaction opportunity, or substantially similar referral, as determined by the Company acting reasonably and in good faith.
8. No Closed-Transaction Guarantee
The Program is intended to reward qualifying introductions and eligible referrals under these Referral Terms. The Company does not guarantee:
a) that any Referred Person will be matched with a Participating Professional;
b) that any consultation will occur;
c) that any relationship will continue after an introduction;
d) that any real estate transaction will take place; or
e) that any Referral Reward will be approved or paid.
Nothing in the Program guarantees a listing, purchase, sale, lease, financing result, transaction milestone, or transaction closing.
9. No Agency, No Authority, and No Representations
Referrers:
a) are not employees, agents, brokers, representatives, partners, or contractors of the Company;
b) do not have authority to act on behalf of the Company, any Participating Professional, or any brokerage;
c) must not negotiate, advise on, or participate in any real estate transaction on behalf of the Company;
d) must not hold themselves out as acting for the Company or for any Participating Professional; and
e) must not make promises, guarantees, or representations about services, legal rights, timelines, outcomes, or reward approval.
Referrers may tell others about MatchWithAgent.ca, but may not use spam, mass unsolicited messaging, deceptive advertising, paid search, impersonation, unauthorized brand use, or any unlawful or misleading conduct to promote the Program.
10. Privacy, Consent, and Communications
All personal information collected, used, or disclosed in connection with the Program is subject to our Privacy Policy.
By participating in the Program:
a) the Referred Person represents and warrants that they are submitting their own information voluntarily;
b) the Referred Person represents and warrants that, where they identify a Referrer, the Referrer has agreed to be identified and contacted by us for referral-program administration purposes;
c) the Referrer acknowledges that we may contact them in connection with Program verification, status, review, payment, compliance, or recordkeeping;
d) each participant agrees that the Company may share relevant information with service providers, Participating Professionals, or other persons where reasonably necessary to review, verify, administer, defend, or enforce the Program; and
e) each participant agrees to provide information reasonably requested for verification, fraud prevention, dispute resolution, or legal compliance.
Participants remain responsible for ensuring that any personal information they provide to us is provided lawfully and with appropriate authority or consent.
11. Taxes and Payment Administration
The Referrer is solely responsible for any taxes, reporting obligations, or other liabilities arising from a Referral Reward, except to the extent the Company is required by law to withhold, report, or remit amounts.
The Company may require payment details, identity verification, tax information, invoices, acknowledgements, or other documentation reasonably necessary to issue a Referral Reward or comply with legal, accounting, anti-fraud, or recordkeeping requirements.
If a Referral Reward is approved, the Company will generally aim to issue payment within a reasonable time after final approval and receipt of any required payment information, but payment timing is not guaranteed.
12. Abuse, Fraud, and Disqualification
The Company may reject, disqualify, cancel, delay, reverse, or refuse any Referral or Referral Reward where it reasonably believes, acting in good faith, that:
a) false, misleading, incomplete, or fraudulent information has been provided;
b) the Program is being manipulated, gamed, or abused;
c) the Referral is a self-referral or substantially equivalent to a self-referral;
d) the Referral is duplicative, retroactive, artificial, sham, or not made in good faith;
e) the consultation did not genuinely occur or did not satisfy Program requirements;
f) the Referred Person was already in our system, already assigned, or already working with the same Participating Professional or another brokerage for the same transaction;
g) a participant has breached these Referral Terms, our Terms of Service, our Privacy Policy, or applicable law; or
h) approval or payment would create legal, regulatory, operational, reputational, or fraud risk for the Company.
If a Referral Reward has already been paid and the Company later reasonably determines that it should not have been approved, the Company may require repayment or offset the amount against any future amount otherwise payable, to the extent permitted by law.
13. Limitation of Liability
To the fullest extent permitted by applicable law, the Company and its directors, officers, employees, contractors, affiliates, service providers, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, or for any loss of profit, revenue, opportunity, goodwill, savings, transaction outcome, or expected reward arising out of or relating to the Program, including any delay, rejection, cancellation, withholding, or non-payment of a Referral Reward.
To the fullest extent permitted by applicable law, the total aggregate liability of the Company arising out of or relating to the Program shall not exceed the amount of the Referral Reward, if any, that was approved but not paid to the particular claimant.
Nothing in these Referral Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
14. Changes, Suspension, and Termination
The Company may modify, suspend, restrict, or terminate the Program or these Referral Terms at any time, to the extent permitted by law.
Any changes will apply prospectively from the time they are posted, unless otherwise stated. A Referral submitted before a change will generally be assessed under the version of the Referral Terms in effect at the time of the Referred Person’s initial submission, unless a change is required by law or is clearly stated to apply immediately for fraud prevention, abuse prevention, operational necessity, or legal compliance.
The Company may suspend or terminate the Program immediately where reasonably necessary to address abuse, legal risk, technical issues, or operational concerns.
15. Governing Law
These Referral Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
You irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, Ontario, for the resolution of any dispute arising out of or relating to the Program or these Referral Terms, unless applicable law requires otherwise.
